These Terms of Service (the “Terms”) govern access to and use of the InProQu websites, applications, APIs, and related services (the “Service”). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” means that organization.
Related policies (incorporated by reference): Privacy Policy, Cookie Policy, Acceptable Use Policy, Billing and Refunds, Electronic Signatures. Where you are a business customer putting personal data of your clients or end users into the Service, the Data Processing Addendum applies.
1. The Service
InProQu is a multi-tenant software service for creating, branding, sharing, tracking, and (where enabled) collecting signatures and payments on proposals and related business documents. Features may include workspaces, company profiles, templates, integrations, PDF export, APIs, and optional Business/Enterprise capabilities (SSO, MFA enforcement, knowledge base, etc.).
We may change, add, or remove features. Material reductions to paid plan entitlements will be handled as described in Billing and Refunds or your order form.
On-prem / Enterprise. Separately licensed on-premises or Enterprise deployments may be governed by a signed order form, license, or master agreement that controls if it conflicts with these Terms.
2. Accounts and eligibility
2.1 You must provide accurate registration information and keep it updated.
2.2 Password accounts require a confirmed email address before first password sign-in. OAuth (Google/Microsoft) and certain invite/SSO flows may rely on the identity provider’s email confirmation.
2.3 You are responsible for credentials, MFA devices, API tokens, and activity under your account. Notify us promptly of unauthorized access.
2.4 We may refuse, suspend, or terminate accounts for AUP violations, non-payment, legal risk, or security reasons (including soft-disable of users).
2.5 Workspace administrators control invites, roles, SSO/MFA policies (where entitled), and member access.
3. Your content and client data
3.1 “Customer Content” means data, text, files, images, logos, client details, proposal content, signatures, and other materials you or your users submit to the Service.
3.2 You retain ownership of Customer Content. You grant us a limited license to host, process, transmit, display, and back up Customer Content solely to provide and secure the Service, prevent abuse, and comply with law.
3.3 You represent that you have all rights and notices required to upload Customer Content (including personal data of clients and recipients of share links) and that use of the Service with that data complies with applicable law.
3.4 Public share links. If you enable sharing, anyone with the link (and password, if set) may view or interact with the document until you disable sharing or it expires. You control sharing settings; we are not responsible for your misconfiguration.
3.5 Integrations. If you connect third-party services (email, storage, CRM, AI, payments, etc.), you authorize us to exchange data with those services as you direct. Those providers’ terms apply to your use of their services. See Privacy Policy and Subprocessors.
4. Acceptable use
You must comply with the Acceptable Use Policy. We may remove content or suspend access for violations.
5. Plans, trials, and fees
Subscriptions, trials, renewals, taxes, and refunds are described in Billing and Refunds and your checkout provider’s terms (e.g. Polar). Unpaid or expired trials may lose sharing or other features after any published grace period.
Client payments on proposals (Stripe, PayPal, PayMongo, Maya, etc.) are processed under your merchant accounts. InProQu is not the merchant of record for those payments and does not hold client funds.
6. Intellectual property
6.1 The Service, software, branding, and documentation are owned by InProQu or its licensors.
6.2 Except for Customer Content and your limited use rights, no IP is transferred.
6.3 Feedback you provide may be used without obligation to you.
7. Confidentiality
Each party may receive non-public information from the other. The recipient will use it only for performing under these Terms and protect it with reasonable care. Customer Content is your confidential information. These obligations do not apply to information that is public, independently developed, or required to be disclosed by law (with notice where legally permitted).
8. Privacy and security
Our processing of personal data is described in the Privacy Policy and, where applicable, the DPA. We implement technical and organizational measures appropriate to the Service (including encryption of certain sensitive fields and access controls). No method of transmission or storage is 100% secure.
9. Electronic signatures and acceptance
If you use built-in accept/sign features on shared documents, Electronic Signatures applies. You are responsible for whether electronic acceptance is valid for your transaction and jurisdiction.
10. Third-party services
The Service may interoperate with third parties. We do not control and are not liable for third-party services, outages, or their processing of data once transferred at your direction.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DOCUMENTS, SIGNATURES, OR PAYMENTS WILL MEET LEGAL REQUIREMENTS FOR YOUR USE CASE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
(b) OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR USD $100 IF YOU ARE ON A FREE TRIAL AND HAVE PAID NOTHING).
Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.
13. Indemnity
You will defend and indemnify InProQu against claims arising from Customer Content, your share links, your clients’ use of shared documents, your integrations, your violation of law or these Terms, or disputes between you and your clients (including signature or payment disputes).
14. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate for breach, legal risk, non-payment, or extended inactivity. Upon termination, your right to access ends; we may delete Customer Content after a reasonable retention/backup period unless law or a DPA requires otherwise. Export any data you need before cancellation.
15. Changes
We may update these Terms by posting a revised version and updating the effective date. Material changes may also be notified by email or in-app notice. Continued use after the effective date constitutes acceptance, except where local law requires affirmative re-consent.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines, excluding conflict-of-law rules. Courts in Cavite, Philippines have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court for IP or unauthorized access.
